Minutes of the Member’s General Assembly of AMBA held on 20.3.2024 via video conference

  • The AMBA Secretary General, Mr. Manolis Papastefanou, opened the assembly at 15:30. It was established that at least 53 Ordinary Members were participating at the video conference, so that the necessary quorum had been reached, since on 20.3.2023 AMBA had 161 Ordinary Members (Article 8 AMBA statute).

  • The agenda for the assembly was unanimously approved.

  • The minutes of the last assembly were also approved unanimously.

  • The Secretary General referred to the annual report, which covered the year 2023, and had been distributed to the members in advance. There were no comments from the Assembly.

  • The Secretary General referred to the financial report, which was also distributed to the members in advance. The finances of the Association were healthy. The financial reserves of the Association on the 31.12.2023 amounted to 44 851,66 Euro. There were no comments nor questions from the Assembly.

  • The Auditor, Mr Christof Schmidt presented the report from the Auditors, Ms. Dorothea Prietzel-Funk and Mr. Christof Schmidt, which had been distributed to the members in advance. The Auditor confirmed that all expenditures were authorised and accounted for. No questions or comments were made from the Assembly. The Auditor suggested that the Committee should be discharged.

  • The Assembly discharged unanimously the Committee and the Auditors for the year 2023.

  • The Committee proposed to levy the membership fee of 40 Euro for 2024 again this year. This was unanimously approved, without any comments by the Assembly.

  • Ms. Judith Thomas and Mr. Christof Schmidt presented themselves as candidates for Auditors in 2024. They were elected unanimously.

  • Ms. Ana Medeiros Gaspar and Mr. Richard Winkelhofer were unanimously elected to form the Electoral Committee for the elections of the Committee members.

  • Regarding the elections of the Committee members, it was explained that, according to the statute, the members of the Committee were elected by the members present at the Assembly.
    The elections would last for the whole of the following day (21.3.2024). The results would be generated automatically by the POLYAS system and sent to the Electoral Committee for a check and announcement.

  • The Assembly agreed to this way of holding the elections.

  • There were five candidates for the Committee: Ms. Karoline Kerber-Zubrycka, Mr. Pedro Cipriano, Mr. Tom Vermeulen, Mr. Thomas Zinke and Mr. Manolis Papastefanou.

  • The list of participants and eligible voters in the General Assembly was established.

  • Ms. Manolis Papastefanou underlined Article 1 of the AMBA Statute and invited the members to contact AMBA if they had issues of relevance for the judicial functions of the BoA members, especially as regards their independence in order that the members will be heard in bodies deciding or making proposals of relevance for these functions.

  • The Secretary General thanked the members attending and closed the Assembly.
